Guest Contributor And Intellectual Property Agreement

1. PREAMBLE AND BINDING CONTRACT

This Master Guest Contributor and Intellectual Property Agreement (the “Agreement”) constitutes a legally binding contract entered into by and between Wiztaqnia (“Publisher”, “Company”, “We”, “Us”, or “Our”), a dual-purpose technology media publication and refurbished electronics e-commerce platform with its registered principal place of business at Bangalore, Karnataka, India, and the individual or entity submitting technical content for publication (“Author”, “Contributor”, “You”, or “Your”).

By submitting any article, blog post, hardware tutorial, code snippet, architectural schematic, photograph, or other digital media (collectively, the “Content”) to the Publisher via email (connect@wiztaqnia.com) or any dedicated online contributor portal, you explicitly, voluntarily, and unconditionally acknowledge that you have read, understood, and unequivocally agree to be bound by all terms, conditions, and liability limitations detailed in this Agreement.

2. NATURE OF RELATIONSHIP AND INDEPENDENT STATUS

2.1 Independent Contractor Status

You acknowledge and agree that you are submitting Content to Wiztaqnia strictly in the capacity of an independent contractor. Nothing contained in this Agreement shall be construed to create an employer-employee relationship, partnership, agency, joint venture, or franchise between You and the Publisher.

2.2 No Employment Benefits or Tax Liability

As an independent contractor, You are not entitled to any employment benefits, workers’ compensation, health insurance, paid leave, or severance from the Publisher. You assume sole and exclusive responsibility for the declaration, reporting, and payment of all local, state, and national taxes arising from any compensation, consideration, or promotional value you may receive pursuant to this Agreement.

3. STRICT OPERATIONAL PROTOCOLS AND EDITORIAL CONTROL

3.1 Submission and Review Protocols

The submission of Content does not constitute a guarantee of publication. Wiztaqnia maintains rigorous technical, safety, and editorial standards. We reserve the absolute, unreviewable right to accept, reject, postpone, or require revisions to any Content at our sole discretion.

3.2 Absolute Editorial and Commercial Rights

Wiztaqnia retains complete editorial and commercial control over its Platform. Prior to and following publication, we expressly reserve the right to:

  • Edit, modify, condense, or expand the Content for grammar, technical clarity, formatting, and Search Engine Optimization (SEO).
  • Alter titles, headings, captions, and featured images to align with the Publisher’s overarching editorial strategy.
  • Insert internal or external hyperlinks, specifically including affiliate links, sponsored placements, or direct links to our proprietary e-commerce storefront for refurbished electronics, within the body of your Content. You shall have no claim to any revenue generated from these commercial insertions.
  • Remove, archive, or unpublish the Content at any time, for any operational or legal reason, without prior notice or liability to You.

4. INTELLECTUAL PROPERTY AND EXCLUSIVE ASSIGNMENT

4.1 Strict Exclusivity Covenant

Wiztaqnia’s core value proposition and search ranking integrity rely on offering completely unique, premium technical content. Upon the Publisher’s acceptance and publication of your Content, you agree to grant the Publisher the sole and exclusive rights to the Content.

You explicitly covenant, warrant, and guarantee that you shall not publish, republish, syndicate, post, or distribute the identical or substantially similar Content on any other digital or print medium. This strict prohibition encompasses your personal blog, Medium, Substack, LinkedIn, GitHub repositories, or any competing technology media website, in perpetuity.

4.2 Transfer of Intellectual Property and Comprehensive Licensing

Upon publication, you grant Wiztaqnia a perpetual, worldwide, irrevocable, royalty-free, exclusive, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, market, and display the Content in any format, medium, or technology now known or subsequently developed.

4.3 Irrevocable Waiver of Moral Rights

To the absolute maximum extent permitted by applicable global law, you hereby unconditionally and irrevocably waive all moral rights (or equivalent rights under any jurisdiction) you may possess in the Content, including the right to object to derogatory treatment or modification of the work, in favor of the Publisher.

5. AUTHOR REPRESENTATIONS AND STRICT WARRANTIES

By submitting Content, you categorically represent and warrant to the Publisher that:

5.1 Absolute Originality and Zero Plagiarism: The Content is your own original creation. It has not been previously published elsewhere. It does not contain plagiarized text, unauthorized Artificial Intelligence (AI)-generated outputs masked as original human work, or stolen proprietary code belonging to a third party or former employer.

5.2 Non-Infringement: The Content does not infringe upon any copyright, trademark, patent, trade secret, right of privacy, right of publicity, or any other intellectual property or proprietary right of any third party.

5.3 Hardware Safety and Technical Accuracy (“Homebrew electronics”): If your Content involves hardware tutorials, circuit schematics, or DIY electronics builds, you warrant that you have physically tested the configuration, that the instructions are technically accurate, and that they do not contain intentional, reckless, or negligent advice that would proximately cause lethal electrocution, structural fires, battery explosions, or bodily harm to readers.

5.4 Software Security and Integrity (“Heartfelt Coding”): If your Content involves code snippets, scripts, or software architecture guides, you warrant that the code has been tested in a secure environment and does not contain malicious payloads, malware, spyware, trojans, backdoor exploits, or intentional destructive instructions designed to cause catastrophic data loss, network breaches, or system corruption.

6. AUTHOR ATTRIBUTION AND DATA PRIVACY (GDPR/CCPA COMPLIANCE)

6.1 Attribution and Byline

In consideration for the exclusive rights granted herein, Wiztaqnia guarantees that you will be given prominent attribution. The published article will feature your chosen byline, a short biography, and appropriate links to your professional profiles (strictly subject to our anti-spam, editorial, and SEO policies).

6.2 Data Protection and Author Profiles

To create and maintain your author profile, we collect and process your personal data (Name, Email Address, Biography, Headshot) in strict accordance with our Master Privacy Policy. Under the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA):

  • Legal Basis: We process this data under the legal basis of “Performance of a Contract” and our “Legitimate Interest” in properly attributing technical content to its creator.
  • Data Subject Rights: You retain the statutory right to request the modification, access, or deletion of your personal author profile data.
  • Right to be Forgotten Protocol: If you formally invoke your “Right to be Forgotten” or request deletion under the GDPR/CCPA, Wiztaqnia reserves the absolute legal right to retain the published Content itself (as the intellectual property license granted in Section 4.2 is irrevocable). In such instances, we will permanently anonymize the byline (e.g., changing it to “Guest Contributor”) and purge your PII from our active databases to comply with privacy statutes while preserving the integrity of our media archive.

7. STRICT INDEMNIFICATION

You agree to unconditionally defend, indemnify, and hold harmless Wiztaqnia, its founders, directors, employees, affiliates, successors, and agents from and against any and all claims, damages, liabilities, costs, losses, and expenses (including exhaustive legal and attorneys’ fees) arising directly or indirectly from:

  1. Any breach or alleged breach of your strict representations and warranties outlined in Section 5.
  2. Any claim, lawsuit, or demand by a third party alleging that your Content infringes their intellectual property rights, copyrights, or trade secrets.
  3. Any claim, lawsuit, or demand by a reader, customer, or third party alleging physical injury, property damage, hardware destruction, or catastrophic data loss resulting from their reliance on, or execution of, your submitted “Homebrew electronics” tutorials or “Heartfelt Coding” software snippets.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIZTAQNIA BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REPUTATION, LOSS OF OPPORTUNITY, OR LOSS OF DATA) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE EDITING OF YOUR CONTENT, OR THE PUBLICATION (OR NON-PUBLICATION) OF YOUR CONTENT. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL AGGREGATE LIABILITY TO YOU UNDER THIS AGREEMENT FOR ANY CAUSE OF ACTION SHALL BE STRICTLY AND ABSOLUTELY LIMITED TO INR 1,000 (ONE THOUSAND INDIAN RUPEES).

9. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) COMPLIANCE

Wiztaqnia complies fully with the DMCA and equivalent global copyright enforcement frameworks.

  • Expedited Takedowns: If we receive a valid takedown notice or legal demand alleging that your Content infringes on a third party’s rights, we will immediately disable access to the Content and remove it from our servers without prior consultation with You.
  • Penalties for Infringement: Submitting infringing or stolen Content constitutes a material breach of this Agreement. Egregious or repeated infringements will result in a permanent ban from contributing to the Platform and the initiation of legal action by Wiztaqnia to recover any resultant damages or legal costs.

10. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

10.1 Governing Law

This Agreement, and any disputes arising directly or indirectly hereunder, shall be governed by and construed in absolute accordance with the laws of India, without regard to its conflict of law principles.

10.2 Exclusive Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or invalidity, shall be finally and exclusively resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat, venue, and exclusive jurisdiction for the arbitration and any subsequent judicial proceedings shall be the competent courts located in Bangalore, Karnataka, India. The language of the proceedings shall be English.

10.3 Class Action Waiver

You agree that any legal proceeding shall be limited to the dispute between Wiztaqnia and You individually. You explicitly waive any right to participate in a class action, collective action, or representative proceeding against the Publisher.

11. GENERAL PROVISIONS

11.1 Severability: If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be struck or modified to the minimum extent necessary, and the remaining provisions shall be enforced to the fullest extent under law.

11.2 Non-Waiver: The failure of Wiztaqnia to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

11.3 Entire Agreement: This Agreement constitutes the entire, integrated understanding between You and Wiztaqnia regarding guest content contributions and completely supersedes all prior or contemporaneous agreements, negotiations, or communications, whether written or oral.
