1. PREAMBLE AND ACCEPTANCE OF TERMS
1.1 Legally Binding Agreement
These Master Terms and Conditions of Service (the “Terms” or “Agreement”) constitute a legally binding contract entered into by and between you, whether personally or on behalf of an entity (“you”, “your”, or “User”), and Wiztaqnia (“Company”, “we”, “us”, or “our”), a technology media publication and e-commerce platform with its registered principal address at Bangalore, Karnataka, India.
These Terms comprehensively govern your access to, browsing of, and use of the Wiztaqnia website, including all digital content, media, software snippets, educational tutorials, guest author portals, and e-commerce functionalities provided therein (collectively, the “Platform”).
BY REGISTERING FOR AN ACCOUNT, ACCESSING, BROWSING, PURCHASING PRODUCTS, OR OTHERWISE USING THE PLATFORM IN ANY MANNER, YOU EXPLICITLY AND UNCONDITIONALLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS, AS WELL AS ALL POLICIES INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND MUST DISCONTINUE USE IMMEDIATELY.
1.2 Electronic Consent and Record
You consent to the use of electronic records and electronic signatures in connection with your use of the Platform and any transactions or communications conducted through it. You agree that any electronic record, including these Terms, communications, invoices, confirmations, and notices, fully satisfies any legal requirement that such communications be in writing.
2. DEFINITIONS
- “Content” refers to all text, images, tutorials, code snippets, hardware schematics, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, and computer code available on the Platform.
- “Services” encompasses the provision of educational media (including the “Homebrew electronics”, “Heartfelt Coding”, and “No-Nonsense Tech” blogs), guest posting facilities, and the e-commerce storefront.
- “Refurbished Electronics” refers to the pre-owned sensors, microcontrollers, and hardware components sold via our Platform that have been tested and restored to working order.
- “User Content” refers to any text, images, code, or other materials that you submit, upload, or provide to the Platform, including guest post submissions and blog comments.
3. ELIGIBILITY AND ACCOUNT SECURITY
3.1 Legal Capacity and Age Restriction
The Platform is intended solely for Users who possess the legal capacity to enter into a binding contract under applicable law. You confirm, represent, and warrant that you are at least eighteen (18) years of age. We do not knowingly collect information from or offer services to minors. If you do not meet these requirements, you must immediately terminate your use of the Platform.
3.2 Account Maintenance and Liability
Certain features (including purchasing products or submitting guest posts) require account registration. You agree to provide true, accurate, current, and complete information. You are solely and exclusively responsible for safeguarding the confidentiality of your account credentials and for any and all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We unequivocally disclaim liability for any loss or damage arising from your failure to secure your account credentials. We reserve the absolute right to suspend or disable any username, password, or other identifier at any time in our sole discretion.
4. PRIVACY AND DATA PROTECTION (GDPR & CCPA COMPLIANCE)
Your use of the Platform is strictly governed by our comprehensive Master Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy details our data collection, processing, and storage practices in strict compliance with the Indian Information Technology Act, 2000, the EU General Data Protection Regulation (GDPR), and the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA). By using the Platform, you affirmatively consent to the processing of your data as outlined in our Privacy Policy and acknowledge your rights thereunder.
5. INTELLECTUAL PROPERTY RIGHTS AND ACCEPTABLE USE
5.1 Ownership of Platform Content
Unless otherwise explicitly stated, the Platform and all its proprietary Content are owned or controlled by us or licensed to us, and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of India, foreign jurisdictions, and international conventions.
5.2 Limited Personal License
Subject to your strict and ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial, and educational use.
5.3 Acceptable Use Policy (AUP)
You agree not to use the Platform for any purpose that is unlawful, malicious, or prohibited by these Terms. You strictly shall not:
- Systematically retrieve data, scrape, or otherwise harvest content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without express written permission from us.
- Use any Content from the Platform for the purpose of training machine learning models or artificial intelligence (AI) systems.
- Circumvent, disable, or otherwise interfere with security-related features of the Platform.
- Attempt to reverse engineer, decompile, or disassemble any software comprising or in any way making up a part of the Platform.
- Upload or transmit viruses, Trojan horses, malware, logic bombs, or other material that interferes with any party’s uninterrupted use and enjoyment of the Platform.
- Plagiarize, republish, syndicate, or commercially exploit Wiztaqnia’s original articles, hardware schematics, or code snippets on competing platforms.
6. E-COMMERCE: SALES, PRICING, AND FULFILLMENT
6.1 Marketplace Scope and Refurbished Goods Acknowledgment
Wiztaqnia operates an e-commerce storefront specializing in refurbished electronics, sensors, and hardware components. You explicitly acknowledge, understand, and accept that all physical items sold are pre-owned, have been subjected to testing and repair, and are sold strictly “as refurbished”. Minor cosmetic wear, superficial scratches, or residual solder on unpopulated pads are to be expected, do not impair functionality, and do not constitute a manufacturing defect.
6.2 Order Acceptance, Refusal, and Cancellation
The display of products on the Platform constitutes an “invitation to offer.” Your placement of an order constitutes an “offer.” We reserve the absolute right to refuse, limit, or cancel any order for any reason, including but not limited to inventory shortages, inaccuracies or errors in product or pricing information, or suspected fraudulent activity. If your order is canceled after your payment has been processed, we will issue a full refund to your original payment method.
6.3 Payments, Billing, and Third-Party Gateways
All billing transactions are processed through highly secure, PCI-DSS compliant, government-authorized third-party payment gateways (e.g., Razorpay, Stripe). We do not store your full financial details on our servers. You agree to provide current, complete, and accurate purchase and account information. Wiztaqnia disclaims all liability for any financial loss, double billing, or delay caused by third-party payment gateway outages or banking network failures.
6.4 Fraudulent Chargebacks
Wiztaqnia maintains a zero-tolerance policy for chargeback fraud. If you initiate a chargeback with your financial institution while bypassing our return protocols, we reserve the right to vigorously dispute the claim, permanently suspend your account, and pursue civil legal action to recover the defrauded amounts and associated legal fees.
6.5 Transfer of Title and Risk of Loss
All physical products purchased from Wiztaqnia are shipped under FOB Origin terms. The legal title to the goods, and the risk of loss, damage, or delay, unequivocally transfers from Wiztaqnia to you the moment we hand the securely packaged order over to the third-party courier.
6.6 Associated Policies
All e-commerce transactions are further governed by our dedicated Shipping Policy and Return, Refund, and RMA Policy, which are incorporated herein by reference.
7. THIRD-PARTY LINKS AND CONTENT
The Platform may contain links to third-party websites, open-source software repositories, APIs, or external sponsor sites. These links are provided solely for your convenience and educational enrichment. We have no control over the contents, security, or privacy policies of those third-party sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Accessing any third-party links is done entirely at your own risk.
8. STRICT DISCLAIMERS AND ASSUMPTION OF RISK
THE PLATFORM, ITS CONTENT, SOFTWARE SNIPPETS, AND ALL REFURBISHED PRODUCTS ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WIZTAQNIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
YOU EXPLICITLY ACKNOWLEDGE, UNDERSTAND, AND UNEQUIVOCALLY AGREE TO ASSUME THE FOLLOWING MATERIAL RISKS:
- HARDWARE RISKS (“Homebrew electronics”): The hardware tutorials provided involve direct interaction with live electricity, soldering tools, microcontrollers, and hardware modifications. Attempting these projects carries severe, inherent risks of lethal electrocution, fire, property damage, chemical burns, and death. Modifying consumer electronics based on our tutorials will definitively void original manufacturer warranties. You undertake all hardware modifications entirely at your own peril.
- SOFTWARE RISKS (“Heartfelt Coding”): Executing experimental code snippets, scripts, and network configurations carries substantial risks of system crashes, permanent data corruption, hardware “bricking”, and network security vulnerabilities.
- NO PROFESSIONAL ADVICE: The insights in “No-Nonsense Tech” are editorial opinions and do not constitute certified engineering, IT, legal, or professional safety advice.
WIZTAQNIA ASSUMES ABSOLUTE ZERO LIABILITY FOR ANY INJURY, PROPERTY DAMAGE, SYSTEM FAILURE, OR FINANCIAL LOSS RESULTING FROM YOUR APPLICATION OF OUR EDUCATIONAL CONTENT OR USE OF OUR PRODUCTS.
9. LIMITATION OF LIABILITY
IN NO EVENT WILL WIZTAQNIA, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AFFILIATES, GUEST AUTHORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT, LOST REVENUE, LOSS OF DATA, REPUTATIONAL DAMAGE, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID, IF ANY, BY YOU TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR INR 1,000 (ONE THOUSAND INDIAN RUPEES), WHICHEVER IS LESS.
10. INDEMNIFICATION
You agree to unconditionally defend, indemnify, and hold harmless Wiztaqnia, its subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:
- Your use of or access to the Platform;
- Your breach of these Terms, the Privacy Policy, or any incorporated policy;
- Any breach of your representations and warranties set forth in these Terms;
- Your violation of the rights of a third party, including but not limited to intellectual property rights (e.g., submitting plagiarized guest posts);
- Any injury, property damage, or software failure caused to a third party as a direct or indirect result of your reliance on, or redistribution of, our tutorials or code.
11. TERMINATION AND SUSPENSION
We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Platform (including blocking certain IP addresses), to anyone for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. We may terminate your use or participation in the Platform or delete your account and any content or information that you posted at any time, without warning.
12. DISPUTE RESOLUTION, ARBITRATION, AND GOVERNING LAW
12.1 Governing Law
These Terms and your use of the Platform are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
12.2 Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a “Dispute”), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.
12.3 Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Arbitration and Conciliation Act, 1996 of India. The seat and exclusive venue of the arbitration shall be Bangalore, Karnataka, India. The language of the arbitration shall be English.
12.4 Class Action Waiver
You agree that any arbitration or legal proceeding shall be limited to the Dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, and there is no right or authority for any Dispute to be arbitrated or resolved on a class-action basis or brought in a purported representative capacity on behalf of the general public.
13. MISCELLANEOUS PROVISIONS
13.1 Force Majeure
Wiztaqnia shall not be liable for any delay or failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure, acts of God, war, terrorism, embargoes, fire, floods, strikes, pandemics, nationwide lockdowns, or government mandates.
13.2 Severability
If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
13.3 Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
13.4 Entire Agreement
These Terms, alongside the Privacy Policy, Cookie Policy, Shipping Policy, Return Policy, and Guest Contributor Agreement, constitute the entire agreement and understanding between you and us, superseding any prior or contemporaneous agreements, communications, and proposals.
